Welcome to NBH. By purchasing, ordering, or engaging with NBH products or services, you (“the Customer”) agree to abide by the following Terms and Conditions of Sale (“Terms”). These Terms govern all transactions between NBH and its customers and are designed to ensure transparency, discipline, and mutual respect in every engagement.
NBH is committed to delivering premium building finishes, including but not limited to porcelain tiles, doors, faucets, and bath solutions, in line with our values of integrity, respect, discipline, excellence, and transparency.
2. Scope of Agreement
2.1 These Terms apply to all purchases of products and services made directly from NBH, whether in-store, online, or through authorized representatives.
2.2 No variation of these Terms shall be binding unless expressly approved in writing by NBH management.
2.3 By placing an order, you confirm acceptance of these Terms without exception.
3. Orders and Acceptance
3.1 All orders are subject to stock availability and NBH’s acceptance.
3.2 Orders shall only be deemed accepted when confirmed in writing, via invoice, or upon receipt of payment.
3.3 NBH reserves the right to refuse or cancel orders where:
- The product is unavailable.
- Payment is not received in full.
- Fraudulent or suspicious activity is suspected.
- The customer has previously breached NBH policies.
4. Pricing and Payment Terms
4.1 Prices are quoted in Nigerian Naira (₦) unless otherwise stated.
4.2 All prices are exclusive of VAT, delivery, and installation charges unless expressly indicated.
4.3 NBH reserves the right to adjust prices without prior notice due to inflation, currency fluctuations, or supplier changes.
4.4 Payment must be made strictly into NBH’s approved bank accounts. NBH staff are forbidden from accepting personal payments, and customers must never transfer funds into private accounts. Any such transaction shall be deemed invalid, and NBH shall not be liable for losses incurred.
4.5 Full payment is required before release or delivery of goods unless otherwise agreed in writing.
5. Delivery and Inspection
5.1 Delivery timelines will be communicated at the point of order but remain subject to logistics, availability, and external conditions beyond NBH’s control.
5.2 Customers are required to inspect all goods immediately upon delivery. Any defects, shortages, or errors must be reported within 48 hours.
5.3 Failure to notify NBH within this period shall be deemed acceptance of the goods as delivered.
6. Returns, Refunds, and Exchanges
6.1 Due to the nature of building finishes, returns are only permitted where:
- Goods are defective at the point of delivery.
- Goods supplied differ materially from the order.
6.2 NBH does not accept returns for change of mind, wrong measurement, or improper handling by the customer.
6.3 Refunds (where approved) shall be processed within 21 working days through official NBH payment channels only.
6.4 Exchanges shall be granted at NBH’s discretion, subject to product availability and inspection.
7. Product Warranties
7.1 NBH warrants that all goods sold are authentic, high-quality, and sourced from trusted suppliers.
7.2 NBH does not guarantee products against misuse, improper installation, or poor maintenance by the customer.
7.3 Warranty claims must be accompanied by purchase proof and subject to NBH verification.
8. Customer Responsibilities
Customers agree to:
- Provide accurate information during purchase and delivery.
- Handle products with care and follow installation guidelines.
- Refrain from engaging NBH staff in private payment transactions.
- Respect NBH culture of discipline, courtesy, and professionalism during interactions.
9. Limitation of Liability
9.1 NBH shall not be liable for indirect, incidental, or consequential damages arising from product use.
9.2 Liability for defective goods is limited strictly to repair, replacement, or refund of the affected product.
9.3 NBH is not responsible for losses caused by incorrect customer specifications (e.g., wrong size, color, or measurements).
10. Confidentiality & Data Protection
10.1 Customer data shall be collected solely for processing orders and improving service.
10.2 NBH shall not share personal customer data with third parties without consent, except as required by law.
10.3 Customers must not disclose confidential NBH trade information, product sourcing details, or internal processes obtained during interactions.
11. Intellectual Property
All NBH trademarks, logos, product images, and content remain the exclusive property of NBH. Customers may not reproduce, distribute, or use these for commercial purposes without prior written consent.
12. Code of Conduct During Transactions
In line with NBH’s core values:
- Customers are expected to treat NBH staff with respect.
- Aggressive, abusive, or fraudulent behavior will not be tolerated.
- NBH reserves the right to refuse service to customers who breach this code of conduct.
13. Governing Law and Dispute Resolution
13.1 These Terms shall be governed by the laws of the Federal Republic of Nigeria.
13.2 Any dispute shall first be resolved amicably through dialogue. Where unresolved, disputes shall be referred to arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act.
13.3 The decision of the appointed arbitrator shall be final and binding.
14. Force Majeure
NBH shall not be held liable for delays or failure to perform obligations where such arises from circumstances beyond reasonable control, including natural disasters, strikes, supply chain disruptions, or government actions.
15. Entire Agreement
These Terms constitute the full agreement between NBH and the Customer and supersede any prior representations or verbal commitments.
16. Acceptance of Terms
By purchasing from NBH, the Customer acknowledges that they have read, understood, and agreed to these Terms in full.
